Terms of Service
Please read these terms carefully before engaging our services. Proceeding with a project engagement constitutes acceptance of all terms and conditions outlined here.
1. Service Scope
CherCode provides end-to-end software development services including website and web application development, AI integration with business systems, and automation workflow design. The exact scope of work is defined in a project quote and Statement of Work (SOW) agreed upon by both parties before work begins. Work outside the agreed scope may incur additional charges.
2. Project Process and Delivery
Every project begins with a free consultation to define requirements, followed by design approval before development starts. Clients receive weekly progress updates and milestone reviews at each stage. Timelines stated in project quotes are based on the agreed scope. Changes to scope during a project may affect both timeline and pricing.
3. Payment Terms
Payment is generally split into two installments: 50% upfront to begin the project and 50% upon final delivery. Larger projects may be split into three installments as outlined in the project quote. Payments overdue by more than 15 days may result in delayed delivery. Upfront deposits are non-refundable once work has commenced.
4. Intellectual Property
Upon full payment, clients own all deliverables including source code, designs, and custom-developed content. CherCode reserves the right to display completed work in our portfolio unless the client requests confidentiality in writing. Open-source libraries and tools used in projects are governed by their respective licenses.
5. Warranty and Liability
We warrant that deliverables will function as specified in the SOW and include 30-90 days of free post-launch support for bugs and technical issues. We are not liable for indirect damages or lost revenue arising from use of the delivered system. Clients are responsible for data backups and security in areas outside CherCode's control.
6. Cancellation and Termination
Clients may cancel a project at any time with written notice but must pay for work completed up to that point on a proportional basis. CherCode reserves the right to terminate a project if the client breaches these terms, fails to pay within agreed deadlines, or obstructs the delivery process.
7. Governing Law
These terms are governed by the laws of Thailand. Any disputes will first be addressed through mutual negotiation. If no resolution is reached, the matter will be referred to a court of competent jurisdiction in Bangkok, Thailand.
